WaPo: Three Pinocchios for Romney-is-a-felon attack

Only three?  Glenn Kessler gave Team Obama a 25% discount, in part because the SEC documents signed by Mitt Romney might suggest that his financial disclosures could use a little cleaning up.  Overall, though, the Washington Post factchecker sticks to his January assessment of Romney’s involvement in Bain — and suggests that Team Obama needs a lot more cleaning up:

Meanwhile, the weight of evidence suggests that Romney did in fact end active management of Bain in 1999. He stated that in a federal disclosure form he signed, under threat of criminal penalties. He said he was a “former employee” in a state disclosure form. A state commission concluded 10 years ago that he did, indeed, leave Bain in 1999.  Investors in Bain funds were told he was not part of the management team.

The SEC documents, especially the ones Romney signed, do raise some questions. One can certainly argue that because Romney did not fully extricate himself from Bain till after his Olympic sojourn ended, he should bear some responsibility for what happened in that period. But that is an entirely different matter than suggesting that he is a potential criminal. It is more of a PR problem, which the Obama campaign is trying to exploit to build a larger case that Romney is secretive.

We were tempted to award this claim Four Pinocchios, but the documents with his signature leave some room for inquiry.

Still, if the Obama campaign wants to put its money where its mouth is, it should immediately lodge a complaint about Romney’s financial disclosure form, filed just last year, rather than try to mislead people about potential violations in relatively unimportant SEC documents.

Kessler also points out that Democrats in 2002 tried making theopposite argument — that Romney had not only left Bain in 1999, but had also effectively left Massachusetts as well to work on the Salt Lake City Olympics.  They insisted that Romney had become a resident of Utah, not Massachusetts, and was therefore ineligible to run for governor.  The Ballot Commission agreed with Democrats at that time that Romney had left Bain Capital on February 11, 1999, after having been employed in Massachusetts from 1975 to 1999.

Furthermore, the commission noted that while Romney returned to Massachusetts for social and business events, none of the events had anything to do with Bain.  Romney attended board meetings for Staples, but Romney sat on that board, as well as others.  No mention was made of any Bain events or meetings attended by Romney — and in that case, Romney would have had an incentive to play up his involvement at Bain, in order to establish eligibility for the office he was seeking.

In other words, the accusation that Romney is an uncharged felon is pure demagogic tripe — which Team Obama seems anxious to deploy in large quantities these daysTeam Romney wants an apology:

Mitt Romney’s campaign manager Matt Rhoades has released a statement calling on President Barack Obama to apologize for his campaign’s attacks speculating that Romney could be accused of a felony following today’s Boston Globe report examining Romney’s separation from Bain Capital.

“President Obama’s campaign hit a new low today when one of its senior advisers made a reckless and unsubstantiated charge to reporters about Mitt Romney that was so over the top that it calls into question the integrity of their entire campaign,” Rhoades said. “President Obama ought to apologize for the out-of-control behavior of his staff, which demeans the office he holds. Campaigns are supposed to be hard fought, but statements like those made by Stephanie Cutter belittle the process and the candidate on whose behalf she works.”

Don’t hold your breath, but do take heart — if this is all they have left in July, Team Obama is completely out of gas.

I agree with the 3 pino rating. There seems to be some sloppiness to the records. Much ado about nothing, especially when you consider that what’s at the root of this whole thing – outsourcing – is complete political BS. If Romney shipped jobs abroad, he did so because it made economic sense. That goes against the Dem meme of protecting union jobs, etc, but we need a guy in the WH who understands basic economics.

Starting on January 1st of this year, thanks to an additional layer of Democrat Government Regulation, for each work project I undertake I must now disclose any “business ties” with the particular client I am performing the service for, going back 3 years.

Their definition of “business ties”? Why, I could have visited that client 3 years ago not on business, but purely for a social visit. But in the Democrats’ ringed world of Uranus, that is defined as a “business tie”.

We’re entering Alice in Wonderland territory here. Which is exactly what O’bama and his puppets want.

Just think how long buying a House takes and then multiply the complexity by Ten. Romney left Bain suddenly to take care of the Olympics. So during the time it took to Transfer the compnay he remains on the Documentation for Record Keeping Purposes.

I worry that low information voters will take onboard the “evil Mitt” lies, tune out for summer and they will be the first thing they remember in the fall. When a compnay I was working for was sold in 2003 the method of sale was an “Asset Transfer”, that is to say that the Assets of the Business were sold but not the Business itself.

The Official ‘Sale’ took place on February 1.

All Dept. Heads and most management departments were gone before March 1 but all were gone by April 1.

For most people the actual transfer took place on February 1, and the New Owners were in charge and running the place on February 1.

But the Documentation, the paperwork which is the subject of the Bain attack ads, did not show the actual transfer of Ownership to have occured until September 30.

Bain is a company that owns companies that owns companies. You don’t transfer that ownership in an afternoon, in thirty days, or even in twelve months.

I strongly suggest you learn a little bit more about business, Government Regulations, and Legal Requirements before you make accusations about people lying.

The one thing that Mitt has is an organization that is re-active, fast and reactive, most of this will backfire.

romney in 2002: “there were a number of social trips and business trips that brought me back to Massachusetts, board meetings, Thanksgiving and so forth,” he said… Romney testified that he “remained on the board of the Staples Corporation and Marriott International, the LifeLike Corporation” at the time.

I’m not saying Fox News anchors have to shill for Romney. But they can be informed, and counter pablum with fact, as WaPo, to its credit, did.

There is something very weird going on when WaPo tells the truth, and Fox News seems incapable of doing so.

As Power Line’s John Hinderaker tells us:

The Democrats’ smear is based largely on ignorance of securities law. In her phone call today, Obama staffer Stephanie Cutter cited SEC filings which listed Romney as a “controlling person” after 1999. If Romney was controlling Bain Capital, Cutter argued, then obviously he was responsible for Bain Capital’s investments after 1999 and has been lying about his relationship with the company. But being a “controlling person” doesn’t mean that you are running the company. The term is defined in the SEC’s Rule 405:

The term “control” (including the terms “controlling,” “controlled by,” and “under common control with,” means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person, whether through the ownership of voting securities, by contract, or otherwise.

the fact that Romney was a “controlling person” for purposes of securities laws has nothing to do with whether he was running the company; nor is his status as a shareholder or director–Romney owned the company until a buyout was completed in 2002–relevant. And whatever titles may have been recited in the filings shed no light on whether he made the investment decisions that the Obama administration now wants to criticize. Bain’s statement on his role is unequivocal:

Mitt Romney left Bain Capital in February 1999 to run the Olympics and has had absolutely no involvement with the management or investment activities of the firm or with any of its portfolio companies since the day of his departure. Due to the sudden nature of Mr. Romney’s departure, he remained the sole stockholder for a time while formal ownership was being documented and transferred to the group of partners who took over management of the firm in 1999. Accordingly, Mr. Romney was reported in various capacities on SEC filings during this period.

This statement is confirmed by the various offering documents for the Bain funds after 1999, none of which list Romney as one of the professionals involved in fund management. And, of course, not a single person has said that Romney was active in Bain’s management after 1999 or was involved in any of the decisions that the Obama administration criticizes. So the Associated Press is joining with the Obama campaign in peddling an unsupported and discredited smear.

And Hinderaker’s colleague Paul Mirengoff has even more:

Fortune Magazine has documents that support the fact that Romney stopped his involvement with Bain when he and Bain say he did. For example:

Bain Capital began circulating offering documents for its seventh private equity fund in June 2000. Those documents include several pages specifying fund management. The section begins:

Set forth below is information regarding the background of the senior private equity investment professionals of Bain Capital. Also listed are certain investment professionals responsible for the day-to-day affairs of the Brookside and Sankaty funds, which are affiliated funds of Fund VII.

It then goes on to list 18 managers of the private equity fund. Mitt Romney is not among them. Same goes for an affiliated co-investment fund, whose private placement memorandum is dated September 2000.

Similarly:

[Bain's] first dedicated venture capital effort — whose private placement memorandum is dated January 2001. Romney also isn’t listed among its “key investment professionals,” or as part of its day-to-day operations or investment committee.

I’d still like someone to illustrate how the specific date that Romney left Bain has any relevance at all as a negative against Romney.

At best someone can say it was a complicated situation where he needed to depart quickly to work on the Olympic (which by the way was by all accounts a huge success) that made some ambiguity between his official and practical involvement in the leadership of the company.

Someone who’s got their undies in a twist over this please explain how there is some sort of nefarious plot going on in this situation and what he has to gain by any of it.

Essentially all of Obozo’s attack ads for Bain Outsourcing (using the term in the place of what they actually want to say which is Offshoring – since Outsourcing occurs with companies within the United States while Offshoring is to other countries) Jobs to other countries all happen to take place in the Three Years after Romney Left Bain Capital.

So in order to Make thier ads truthful, rather than the Lies they are, they are trying to move the date at which Romney left Bain Capital to make him a Vulture Capitalist and smear him properly, the way they know they should be able to, because he’s just not as Perfect as The One!
